TERRITORY LICENSE AGREEMENT (EULA)

This Territory License Agreement ("Agreement," "License," "EULA") is a legally binding contract between:

d/b/a Electrician Demand System™

("Company," "we," "our," "us")

and the purchaser ("Licensee," "you," "your").

By purchasing a territory, activating your account, or using any part of the Electrician Demand System™, you agree to this EULA.

1. Grant of License

1.1 Core ZIP License (Guaranteed Exclusive)

You receive exclusive rights to one (1) primary ZIP code ("Core ZIP"). No other electrician will be granted rights to your Core ZIP while your license remains active and in good standing.

1.2 Perimeter Tier Protection (Smart Territory System)

In addition to your Core ZIP, you receive an exclusive service area defined by a Perimeter Tier (e.g., 20-mile, 30-mile, 40-mile, or 50-mile Perimeter Tier).

Perimeter Tiers represent a protection and classification level, not a literal distance measurement.

1.3 Market-Adjusted Territory Scaling

High-density areas may result in more compact geographic footprints. Low-density areas may generate wider geographic footprints. Territories are balanced by market value, not physical size.

Your Perimeter Tier guarantees protection level—not guaranteed mileage.

1.4 Buffer Zone (Best-Effort Isolation)

A buffer zone may be applied to reduce potential conflicts between nearby territories.

1.5 Commercial Exclusivity Standard

Electrician Demand System™ grants Licensee a protected service zone associated with the selected Core ZIP code and related market area. The Company makes commercially reasonable efforts to enforce exclusivity by preventing materially overlapping licensed providers within the same competitive market.

Due to irregular ZIP boundary geometry, mapping tolerances, and population-weighted territory modeling, minor boundary contact or de minimis overlap may occur and does not constitute a breach of exclusivity. The Company retains final discretion in determining whether any overlap is material and competitive in nature.

1.6 Territory Reservation & Setup Fee Consideration

Upon payment of the Setup Fee (or the first installment thereof), the Licensee's selected territory is provisionally reserved and removed from general availability in accordance with the Company's commercial exclusivity model.

Because territory allocation restricts the Company's ability to license competing providers within materially overlapping market areas, the Setup Fee compensates for both system provisioning and exclusivity reservation and is therefore non-refundable.

Access to system updates and enhancements

This license does NOT confer ownership of software or intellectual property.

3-5. Territory Limitations, Company Rights, Licensee Responsibilities

ZIP codes are irregular. Perimeter Tiers are classification levels. Population-weighted adjustments apply.

You agree to maintain subscription, follow rules, and use the platform ethically.

6. Fees, Billing & Payment Terms

6.1 Setup Fee Definition

The Electrician Demand System™ requires a one-time setup fee for onboarding, provisioning, implementation, site configuration, and initial system activation ("Setup Fee").

6.2 Installment Payment Commitment

If you elect to pay the Setup Fee using an installment plan, you are committing to the full Setup Fee amount, regardless of payment schedule.

Early cancellation of services, suspension of access, non-use of the system, or failure to complete onboarding does not cancel or reduce your obligation to pay all remaining Setup Fee installments.

6.3 Non-Refundable Fees

All Setup Fees—whether paid in full or via installments—are non-refundable once setup work has begun. Setup work is considered begun upon account provisioning, domain configuration, site generation, or system activation.

6.4 Separation of Setup Fees and Subscription Fees

Setup Fees are separate from and independent of recurring subscription fees. Cancellation of your monthly Electrician Demand System™ subscription does not cancel, pause, or forgive any remaining Setup Fee installment balance.

6.5 Authorization to Charge

By enrolling in an installment plan, you authorize Growth Catalyst Crew LLC to automatically charge the payment method on file for all scheduled installment payments until the full Setup Fee has been paid.

6.6 Payment Failure & Suspension

If any installment or subscription payment fails or becomes past due, the Company may suspend access to the Electrician Demand System™, including websites, dashboards, automations, and services, until payment is brought current.

6.7 Default & Acceleration

If an installment payment remains unpaid for more than fourteen (14) days, the Company reserves the right to declare the remaining Setup Fee balance immediately due and payable.

6.8 Chargebacks & Payment Disputes

Initiating a chargeback or payment dispute for valid Setup Fee installments or subscription charges may result in immediate suspension of service and forfeiture of access. Abuse of the chargeback process constitutes a violation of these Terms.

7-9. Restrictions, IP, AI Disclaimer

You may not resell, clone, or reverse engineer. All IP belongs to Growth Catalyst Crew LLC.

AI outputs may contain inaccuracies. Rankings and leads are not guaranteed.

10-16. Termination, Warranties, Liability, Governing Law

System provided "as-is." Liability limited to 3 months of payments. Georgia law applies.

17. 30-Day Homepage Satisfaction Guarantee

17.1 Guarantee Scope

Limited 30-day homepage satisfaction guarantee covering visual design and written content quality only.

Does not apply to: SEO rankings, traffic, lead volume, or platform tools.

17.2 Eligibility

Written notice within 30 calendar days of homepage delivery
All payments current, no chargebacks

17.3 If Exercised

Agreement terminated, territory revoked
You receive flattened HTML export: homepage + up to 4 service pages
No CMS, backend, or proprietary tools included
Portable, may be hosted anywhere

17.4 No Refunds

This guarantee does not include refunds of any payments.

17.5 One-Time Use

May be exercised once per business entity.
